A Strategic Path for Pre-IPO Giving

The founder of a highly profitable technology firm approached NPT because his company was exploring an IPO. His pre-IPO shares had the lowest cost basis of any asset in his portfolio. He knew that by donating them to a donor-advised fund, he could both offset his taxable income in the year of the IPO and, by avoiding capital gains tax, preserve the greatest possible amount of the assets to leverage for future grantmaking. He had questions, though: Could the entire position be held? How, with no near-term liquidation, could he recommend grants to nonprofit organizations?

NPT learned that his company was planning on succeeding fundraising rounds for the firm. Our team advised him that if he contributed his shares to his donor-advised fund, we, as holders of those shares, might be able to participate in tender offers to attain near-term liquidity for grantmaking prior to the IPO. We worked with him on a roadmap for holding the shares until after the IPO event, maximizing the amount that would be made available for his philanthropic giving, and creating a liquidation plan to diversify his position in the firm in a strategic manner over the course of several months.

Our work with this donor showcased our ability to collaborate with individuals who hold private assets to develop customized strategies to fund their philanthropic goals at every stage of their business life cycle.

Customized Investments for Long-Range Impact

A donor with long-term philanthropic goals came to NPT seeking a customized investment strategy that could grow her charitable resources over time. After extensive conversations about her risk tolerance, values, and giving objectives, our investment team collaborated with her family office to build a multi-year laddered portfolio designed to balance liquidity, growth potential, and risk.

The resulting strategy included more than two dozen positions combining traditional investments with private and direct opportunities intended to support long-term grantmaking. Throughout the process, NPT’s finance, accounting, and alternative investment specialists worked together to ensure the portfolio aligned with the donor’s vision.

Because the donor was especially passionate about work to advance affordable housing solutions, we focused a portion of the investment portfolio on companies constructing low-income apartment buildings and other affordable housing initiatives. NPT helped structure these investments to support both financial returns and lasting community impact. By combining investment expertise with an understanding of philanthropic approaches to the issue area, we created a strategy tailored to advance both the donor’s financial and charitable goals.

Concierge Support for a Family Foundation

NPT has a long-standing relationship with a major donor whose philanthropy spans multiple interrelated legal entities. As a matter of course, NPT serves as a trusted partner to help manage and administer giving portfolios, but it was becoming clear that the intricacy of the donor’s network of philanthropic initiatives required something more structured than on-demand support.

To meet the donor’s evolving needs, their NPT relationship manager established a cadence of regular monthly meetings with them and their team to maintain a bird’s-eye view of their total giving portfolio and deliver strategic guidance informed by specialized legal, financial, operational, and philanthropic expertise. These sessions offered a consistent forum to review active grants, provide logistical support, design and monitor custom grant agreements, and develop frameworks and processes to support the donor’s time-sensitive giving schedule.

NPT’s depth of philanthropic experience helps inform pertinent discussion topics, such as evolving country-specific regulatory requirements in the localities supported by the donor’s grantmaking. The relationship manager also coordinated a series of calls between NPT’s general counsel and the donor’s, establishing space for our teams to collaborate on forecasting changes to the donor’s philanthropic roadmap. The relationship-based service model continues to evolve with the donor’s objectives, helping them execute their sophisticated giving strategy with greater confidence and efficiency.

Translating Personal Conviction into a Global Giving Strategy

A donor approached NPT to help translate her deep personal and professional commitment to advancing mental health and disability rights for women and girls into a global giving strategy. She came with a multimillion-dollar budget, identified priority regions in the Global South and a goal of rapidly deploying funds. What she needed was a framework to maximize the scale and impact of her giving.

Over an eight-week engagement, NPT advisors worked closely with the donor to clarify her motivations, values, definition of impact, and grantmaking priorities. Through these discussions, it became clear that she wanted to ensure significant funding could reach community-based organizations. NPT responded by identifying trusted grantmaking intermediaries operating within the donor’s chosen impact regions, whose on-the-ground regional expertise could ensure efficient and secure distribution of funds to grantees.

NPT conducted landscape research, consulted regional experts and peer funders, performed organizational due diligence, and held discovery calls with prospective partners. The result was a customized giving strategy, including a curated portfolio of funding opportunities, recommendations for allocating funds across geographies, and an ongoing learning framework. Equipped with a clear, values-driven decision-making process, the donor was able to pursue her philanthropy with greater confidence, clarity, and independence.
